Terms of Service
Operator: acerasoft LLC. Effective: [date]. By using VESTRA you accept these Terms.
1. What VESTRA is
A B2B wholesale marketplace connecting verified business sellers and buyers. VESTRA is an intermediary and not a party to sales; it does not warehouse goods or custody funds (an external licensed escrow provider does).
2. Eligibility
For businesses only. You must complete verification (KYB/KYC) before transacting.
3. Listings & orders
Sellers are responsible for their listings, products, legality and fulfilment. Orders form a contract between buyer and seller.
4. Payments & escrow
Payments are held in escrow by a licensed provider and released to the seller per agreed conditions (e.g., buyer confirmation / verified delivery). VESTRA charges its own fees/commission.
5. Authenticity & IP
Only genuine, lawful goods the seller is entitled to sell may be listed. Counterfeit, replica and unverified grey-market goods are prohibited. We operate a notice-and-takedown process.
6. Prohibited conduct
No illegal activity, fraud, IP infringement, circumvention of verification/escrow, or off-platform solicitation to evade fees or protections.
7. Liability
Service provided 'as is'. To the extent permitted by law, VESTRA is not liable for goods or the conduct of users; mandatory protections under applicable law are unaffected.
8. Suspension & termination
We may suspend or terminate access for breach, legal/risk reasons or repeated infringement.
9. Governing law
[Governing law/forum]; mandatory provisions of the user's local law may still apply.
